These Terms of Service ("Terms") form a binding agreement between you, on behalf of the company you represent, and PM Portal ("we", "us", "our") governing your access to and use of pmportal.ae and the marketplace services available on it (the "Platform"). By creating an account or otherwise using the Platform, you accept these Terms in full. If you do not agree, do not use the Platform. Our Privacy Policy and Disclaimer are incorporated into these Terms by reference.
PM Portal is a business-to-business (B2B) marketplace. You must be at least 18 years old, act on behalf of a legitimate, lawfully registered business, and have authority to bind that business to these Terms. You agree to provide accurate, current, and complete registration information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account; notify us immediately at info@pmportal.ae of any unauthorized use.
Before a Company can publish Offers, we review its trade licence, commercial registration, and other supporting documents. We may request additional documentation, reject an application, or suspend an already-verified account if we reasonably believe the information provided is inaccurate, fraudulent, or no longer current. Verification is an administrative review of documents submitted to us — it is not, and should not be relied upon as, a guarantee of a Company's solvency, creditworthiness, or ability to perform any transaction.
You agree not to use the Platform to:
We may investigate suspected violations and take action including removing Content, suspending features, or terminating accounts, as described in Section 14.
You retain ownership of the Content you submit. By submitting Content, you grant PM Portal a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display it solely for the purpose of operating and promoting the Platform (for example, showing your Offer to other Companies). You are solely responsible for the accuracy and legality of Content you submit, including the accuracy of pricing, quantities, purity, and delivery terms stated in any Offer.
Offers are created by Companies and reflect their own pricing and terms. Where an Offer's price is derived from a reference market price plus a stated premium or discount, that reference price is captured at the moment of publishing and is not editable afterward; the final price is calculated by the Platform and cannot be entered directly. PM Portal does not set prices, does not take title to any goods listed, is not a party to any transaction between Companies, and does not execute, clear, or settle any transaction. Contacting a counterparty through the Platform does not create any obligation on either party to transact.
Certain features require a paid subscription plan. Current plans, pricing, and included usage limits are described on our Pricing page at the time of purchase. Subscription payments are processed by our third-party payment processor, Stripe; we do not store your full card details. Subscriptions renew automatically for successive billing periods unless cancelled before the renewal date through your account settings. Except where required by law or expressly stated otherwise, fees already paid are non-refundable, including for partial billing periods.
The Platform's software, design, text, graphics, and the PM Portal name and logo are owned by PM Portal or its licensors and are protected by intellectual property laws. Except for the limited right to access and use the Platform in accordance with these Terms, no rights are granted to you in our intellectual property.
The Platform may reference or link to third-party services (for example, our payment processor, or third-party source articles). We do not control and are not responsible for third-party content, policies, or practices. Your use of any third-party service is governed by that party's own terms.
The Platform is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. PM Portal does not guarantee the completion, quality, authenticity, or delivery of any precious metals traded between Companies, and does not warrant that the Platform will be uninterrupted, timely, secure, or error-free. To the maximum extent permitted by applicable law, PM Portal and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Platform or any transaction between Companies, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the amount you paid us in subscription fees during the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify and hold PM Portal harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Content, your use of the Platform in violation of these Terms, or your violation of any law or third-party right.
You may stop using the Platform and close your account at any time. We may suspend or terminate access to the Platform, with or without notice, if we reasonably believe you have violated these Terms, provided false information, posed a security risk, or if required by law. Provisions of these Terms that by their nature should survive termination (including Sections 9, 11, 12, 13, and 15) will survive.
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates, save where mandatory local law gives you the right to bring proceedings in your own jurisdiction.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and where changes are significant we will provide more prominent notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of that right. These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and PM Portal regarding the Platform.
